UAE Corporate Tax Registration: Who Needs to Register and When?

UAE Corporate Tax is now firmly established as part of the country's tax system. However, one of the most common questions business owners still ask is: “Does my business actually need to register for Corporate Tax?"

UAE Corporate Tax is now firmly established as part of the country’s tax system. However, one of the most common questions business owners still ask is: “Does my business actually need to register for Corporate Tax?”

For many UAE businesses, the answer is yes — even where the business expects to pay little or no Corporate Tax.

Understanding the difference between registering for Corporate Tax and actually having Corporate Tax to pay is therefore important.

Who Needs to Register for UAE Corporate Tax?

As a general rule, Taxable Persons must register with the Federal Tax Authority (FTA) and obtain a Corporate Tax Registration Number.

This can include UAE companies operating on the mainland as well as companies established in UAE Free Zones.

A common misconception is that a Free Zone company does not need to register because it may benefit from a 0% Corporate Tax rate. That is not necessarily the case.

A Free Zone company may still need to register, file a Corporate Tax Return and demonstrate that it satisfies the conditions necessary to benefit from the Qualifying Free Zone Person regime.

Does a Company Need to Register if It Has No Corporate Tax to Pay?

Potentially, yes.

The requirement for a company to register for Corporate Tax should not be confused with the AED 375,000 taxable income threshold used when calculating the standard rate of Corporate Tax.

For an ordinary Taxable Person, Corporate Tax is generally charged at:

  • 0% on taxable income up to AED 375,000.
  • 9% on taxable income exceeding AED 375,000.

A company can therefore have no Corporate Tax liability while still having registration and filing obligations.

What About Individuals and Freelancers?

Different rules apply to natural persons carrying on a Business or Business Activity in the UAE.

An individual is generally required to register for Corporate Tax where total Turnover derived from Business or Business Activities conducted in the UAE exceeds AED 1 million in a calendar year.

Certain categories are not treated as Business or Business Activities for these purposes, including:

  • employment income;
  • Personal Investment Income; and
  • Real Estate Investment Income, where the relevant conditions are satisfied.

This means that simply earning a salary or holding personal investments does not automatically bring an individual within the UAE Corporate Tax regime.

When Does a New UAE Company Need to Register?

For UAE juridical persons incorporated, established or recognised on or after 1 March 2024, the Corporate Tax registration application is generally required to be submitted within three months from the date of incorporation, establishment or recognition.

Businesses should therefore consider Corporate Tax registration as part of the initial compliance process when establishing a new UAE company rather than waiting until the first tax return becomes due.

Different registration rules and deadlines can apply to older entities, foreign entities and certain Non-Resident Persons.

What Happens After Registration?

Once registered, the business receives a Corporate Tax Registration Number. Registration is only the beginning of the compliance process.

Businesses should also ensure that they:

  • maintain appropriate accounting records;
  • understand their first Tax Period;
  • determine their Corporate Tax filing deadline;
  • identify expenses requiring tax adjustments;
  • assess whether any reliefs are available;
  • consider whether related-party and transfer pricing requirements apply; and
  • calculate and pay any Corporate Tax due.

Do Free Zone Companies Need to Register?

Free Zone businesses should not assume that being established in a Free Zone removes their Corporate Tax obligations.

A company seeking the benefits of the Qualifying Free Zone Person (QFZP) regime must satisfy specific conditions.

Where those conditions are met, Qualifying Income can potentially benefit from a 0% Corporate Tax rate, while taxable income that is not Qualifying Income may be taxed at 9%.

The Free Zone Corporate Tax regime is therefore significantly more nuanced than simply saying that a Free Zone company “pays 0% tax”.
